Board of Commissioners

In accordance with the prevailing laws and regulations, the Board of Commissioners is the Company's organ representing the Shareholders to supervise the implementation of the Company's policies and strategies carried out by the Board of Directors and provide direction/advice to the Board of Directors in managing the Company in good faith, prudence and responsibility, as well as carrying out functions to strengthen the Company's image in the eyes of the public and shareholders.

At the AGMS held on May 22, 2023 the Meeting approved the appointment of the Board of Commissioners of First Media as of the closing of this Annual General Meeting of Shareholders until the closing of the Annual General Meeting of Shareholders of the Company for the fiscal year 2025 which will be held in 2026. The following is the composition of the Company's Board of Commissioners:

Duties, Responsibilities, and Obligations

Through the reports of the Board of Directors and the Audit Committee, the Board of Commissioners monitors and evaluates the implementation of all strategic policies of the Company, including the effectiveness of risk management and internal control. In addition, the Board of Commissioners is responsible for overseeing the Company's operational management carried out by the Board of Directors and providing advice to the Board of Directors when necessary, in accordance with the provisions set out in the Articles of Association, the Company's GMS Resolution, regulations and applicable laws. In relation to the GMS, the Board of Commissioners has duties and responsibilities, among others, to provide opinions and suggestions regarding the Company's Annual Work Plan and Budget, report immediately if there are symptoms of declining performance of the Company, review and sign the Annual Report, and account for the implementation of its duties to the GMS.
